How to Incorporate a Private Limited Company in India: The Complete Founder Guide

Why Private Limited Remains the Preferred Vehicle

A Private Limited (Pvt Ltd) company continues to be the bedrock of the Indian startup economy. Unlike proprietorships or unregistered partnerships, it endows your venture with a distinct legal entity status, perpetual succession, and statutory limited liability protection for all equity shareholders.

Crucially, institutional investors, venture capital funds, and angel syndicates almost exclusively invest in private limited corporate structures due to straightforward share allotment mechanics, debenture issuance options, and predictable statutory governance.

Key Pre-Requisites Before You Begin SPICe+

Before logging into the MCA portal, ensure you have organized the foundational pillars of the company:

Essential Requirement Checklist:
  • Minimum of 2 directors (at least 1 must be a resident of India)
  • Minimum of 2 shareholders (can be the same directors)
  • Class-3 Digital Signature Certificates (DSC) for all signing directors
  • Registered office proof (Utility bill + No Objection Certificate from property owner)
  • Unique corporate name that does not conflict with existing registered trademarks

The 4 Stages of the SPICe+ Integrated Filing

The Ministry of Corporate Affairs streamlined incorporation through the single-window SPICe+ (SPICe Plus) web form.

Part A is reserved exclusively for Name Reservation (RUN). You can propose up to 2 distinct names with activity-aligned prefixes.

Part B captures comprehensive director disclosures, DIN applications, registered office specifics, and integrates with AGILE-PRO-S for simultaneous generation of company PAN, TAN, EPFO, ESIC, and mandatory professional tax enrollments.

Immediate Post-Incorporation Compliances

Once the RoC issues your Certificate of Incorporation (CoI) with Corporate Identity Number (CIN), you must execute three vital statutory duties within statutory deadlines:

1. Form ADT-01: Appoint your statutory auditor within 30 days of incorporation.

2. Form INC-20A: File the Declaration for Commencement of Business within 180 days after shareholders deposit paid-up subscription money into the current bank account.

3. Issue stamped Share Certificates to subscribers within 60 days.
